TERMS OF SERVICE AND USER AGREEMENT

Please read these Terms of Service and User Agreement ("Terms," "Agreement") carefully
before accessing or using the website, services, platforms, shows, events, or any related offerings operated by Doc Knows Music ("Company," "we," "us," or "our"), including but not limited to docknowsmusic.com, associated social media channels, the Doc Knows Music Show, InviteOnly Studios events, music submission portals, leaderboards, camps, and databases (collectively,
the "Services").
By accessing or using the Services, creating an account, submitting music or other content,
signing up for opportunities, or otherwise interacting with Doc Knows Music, you ("User,"
"you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you
must not access or use the Services.
These Terms constitute a legally binding agreement between you and Doc Knows Music.
1. Description of Services
Doc Knows Music is a platform dedicated to connecting independent artists, songwriters, and
producers ("Artists") with A&Rs, record labels, brands, and industry decision-makers. Our
Services may include, without limitation:
• Free and/or paid music submission and review opportunities;
• Featured placement on the Doc Knows Music Show, Hot Indies 10, leaderboards, and
related programming;
• Addition of selected tracks to the Doc Knows Music database for visibility to industry
partners;
• Competitions, prizes, and opportunities (including potential record deals, EP production
packages, live performances, and studio access);
• Songwriters Camps, Producer Camps, and other educational or networking events at
Invite Only Studios or other locations;
• Sync licensing opportunities, soundtrack submissions (e.g., film projects), and producer
spotlight features;
• Any other features, content, or services we make available from time to time.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time
without prior notice. Participation in any opportunity is not guaranteed and is subject to our sole
discretion and any applicable additional rules or eligibility requirements.

2. Eligibility
You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, to use
the Services or submit content. If you are under 18, you may only use the Services with the
involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.
By using the Services, you represent and warrant that you have the legal capacity and authority
to enter into this Agreement and that all information you provide is accurate, current, and
complete.
3. Account Registration and Music Submissions
Certain features of the Services may require you to create an account or submit information
through our website, third-party portals (including but not limited to myfanconnect.me or similar
platforms), email, or other methods we designate. You are responsible for maintaining the
confidentiality of any login credentials and for all activities that occur under your account.
When you submit music, lyrics, artwork, biographical information, or any other materials ("User
Content"), you agree that:
• You own or control all rights in and to the User Content necessary to grant the licenses
set forth herein;
• The User Content is original (or you have obtained all required clearances, samples, and
permissions);
• The User Content does not infringe any third-party intellectual property, privacy,
publicity, or other rights;
• The User Content does not contain unlawful, defamatory, obscene, or otherwise
objectionable material;
• You have the full right and authority to submit the User Content and to grant the rights
granted under these Terms.
We reserve the right to reject, remove, or refuse to consider any submission for any reason or no
reason, in our sole discretion, without liability or obligation to provide feedback.
4. Ownership of User Content and License Grant
You retain all ownership rights in and to your User Content. Nothing in these Terms transfers
ownership of your music or other creative works to Doc Knows Music.
By submitting User Content, you hereby grant Doc Knows Music and its affiliates, partners,
licensees, and service providers a worldwide, non-exclusive, royalty-free, fully paid-up,
transferable, and sublicensable license to:
(a) Review, listen to, evaluate, and store the User Content;
(b) Feature, play, stream, broadcast, display, and promote the User Content (in whole or in
part) on the Services, the Doc Knows Music Show, social media, websites, leaderboards,
and related promotional materials;

(c) Include the User Content in the Doc Knows Music database and share it with A&Rs,
record labels, music supervisors, brands, and other industry professionals for the purpose
of facilitating potential opportunities;
(d) Use your name, stage name, likeness, biographical information, and artwork in
connection with the foregoing;
(e) Create limited excerpts, snippets, or promotional edits solely for the purpose of
showcasing or promoting the User Content or the Services.
This license is granted solely for the purposes of operating, promoting, and improving the
Services and facilitating industry opportunities. It does not include the right for Doc Knows
Music to commercially exploit your music as a record label (e.g., selling recordings or collecting
master royalties) without a separate written agreement signed by both parties.
If you are selected for a specific prize, deal, camp, soundtrack placement, or other opportunity
that involves additional rights, those rights will be governed by a separate written agreement.
5. No Guarantees; Nature of Opportunities
Doc Knows Music provides a platform for exposure and connection. We do not guarantee that
any submission will be reviewed, selected, featured, placed on a leaderboard, shared with
industry partners, or result in any record deal, licensing opportunity, prize, performance, or other
benefit.
Any competitions, prizes, camps, or special opportunities are subject to additional official rules,
eligibility requirements, and our sole discretion. Prizes (including cash, studio time,
merchandise, or deal opportunities) may be modified, substituted, or canceled. Winners are
solely responsible for any applicable taxes.
Doc Knows Music is not a record label, music publisher, or talent agency, and nothing in these
Terms creates any agency, partnership, joint venture, or employment relationship between you
and us.
6. Intellectual Property of Doc Knows Music
The Services, including all content, branding, logos, designs, text, graphics, software, the names
"Doc Knows Music," "DKM," "Invite Only," "Hot Indies 10," and related marks, are owned by
or licensed to Doc Knows Music and are protected by copyright, trademark, and other
intellectual property laws. You may not use, copy, modify, or distribute any Company
intellectual property without our prior written consent.
Feedback or suggestions you provide regarding the Services may be used by us freely without
any obligation to you.
7. Prohibited Conduct
You agree not to:
• Submit content that infringes the rights of others or violates any law;

• Impersonate any person or entity, or misrepresent your affiliation;
• Interfere with or disrupt the Services or servers;
• Attempt to gain unauthorized access to any portion of the Services;
• Use automated systems (bots, scrapers, etc.) to access or submit content without
permission;
• Harass, threaten, or abuse other users, hosts, or staff;
• Use the Services for any commercial purpose other than promoting your own music as an
independent artist in accordance with these Terms.
8. Privacy
Your use of the Services is also governed by our Privacy Policy (if and when published on our
website). By using the Services, you consent to the collection, use, and sharing of information as
described therein. We may share limited information about selected artists and tracks with
industry partners strictly for opportunity-related purposes.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT
WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY,
INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE
SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
We do not warrant that any particular outcome, deal, placement, or industry connection will
result from your use of the Services or submission of User Content. Any opinions expressed on
the Doc Knows Music Show or related content are those of the speakers and do not necessarily
reflect the views of Doc Knows Music.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOC KNOWS
MUSIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, HOSTS, PARTNERS,
AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS
OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO
YOUR USE OF (OR INABILITY TO USE) THE SERVICES, WHETHER BASED ON
WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER
LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE
TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS
(USD $100) OR THE AMOUNT YOU HAVE PAID US (IF ANY) IN THE TWELVE (12)
MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

11. Indemnification
You agree to indemnify, defend, and hold harmless Doc Knows Music and its officers, directors,
employees, agents, hosts, partners, and affiliates from and against any and all claims, damages,
losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or
related to: (a) your User Content; (b) your use of the Services; (c) your violation of these Terms;
or (d) your violation of any third-party rights.
12. Termination
We may suspend or terminate your access to the Services at any time, with or without cause or
notice, including if we believe you have violated these Terms. Upon termination, the licenses
granted by you under Section 4 shall survive with respect to any User Content already used or
shared prior to termination, and the provisions of Sections 6, 9, 10, 11, 13, and 14 shall survive.
You may stop using the Services at any time. Requesting removal of specific User Content may
be considered on a case-by-case basis but is not guaranteed, particularly if the content has
already been featured or shared with partners.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New
York, without regard to its conflict of laws principles. Any legal action or proceeding arising
under these Terms shall be brought exclusively in the state or federal courts located in New York
County, New York, and you hereby consent to the personal jurisdiction and venue therein.
Any dispute arising out of or relating to these Terms shall first be attempted to be resolved
through good-faith informal negotiations. If not resolved within thirty (30) days, either party may
pursue formal legal remedies.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on the
website with a revised "Last Updated" date. Your continued use of the Services after any
changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you
must stop using the Services.
15. Miscellaneous
These Terms, together with any additional rules for specific opportunities and any Privacy
Policy, constitute the entire agreement between you and Doc Knows Music regarding the
Services and supersede all prior agreements. If any provision is found unenforceable, the
remaining provisions shall continue in full force. Our failure to enforce any right shall not
constitute a waiver. You may not assign these Terms without our prior written consent; we may
assign them freely.

Nothing in these Terms shall be construed as creating any partnership, joint venture,
employment, or agency relationship.

BY USING THE SERVICES OR SUBMITTING CONTENT, YOU ACKNOWLEDGE
THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE
